1. Agreement and operator
These Terms of Service are an agreement between Wisely Driven Consulting, a business operated by Philip Couboura at 320 Gladstone St, Hawkesbury, Ontario, Canada (“we,” “us,” or “our”), and the person or organization using ChatVoice (“you” or “your”). ChatVoice is our product and is available at chatvoice.dev.
If you use ChatVoice for an organization, you confirm that you have authority to accept these terms for that organization.
2. The service
ChatVoice provides hosted website tools that may include an AI chatbot, browser-based real-time voice interactions, a shared uploaded PDF knowledge base, conversation records and summaries, and optional Google Calendar booking. Available features and usage limits depend on the plan shown in the product and at checkout.
Calendar features may create events using a connected Google account. You remain responsible for checking appointments, conflicts, time zones, attendee details, and follow-up communications.
3. Accounts and your responsibilities
- Provide accurate account and billing information and keep it current.
- Keep login credentials secure and notify us promptly of suspected unauthorized access.
- Configure your agent, knowledge base, calendar, and visitor notices appropriately for your business.
- Obtain any notices, permissions, or consents required before collecting or processing visitor chat, voice, contact, or booking information.
- Maintain appropriate copies of business information you upload or rely on.
4. Acceptable use
You must not use ChatVoice to:
- break the law, infringe third-party rights, mislead people, or facilitate harmful or fraudulent activity;
- upload content you do not have the right to use or collect personal information without an appropriate legal basis;
- probe, disrupt, overload, reverse engineer, bypass usage limits, or attempt unauthorized access to the service or another customer's data; or
- use AI output as a substitute for qualified professional judgment in high-risk decisions.
5. Your content and data
You retain ownership of the PDFs, text, branding, instructions, and other material you provide (“Customer Content”). You grant us a limited licence to host, copy, transmit, process, and display Customer Content only as needed to operate, secure, support, and improve ChatVoice and meet our legal obligations.
You are responsible for Customer Content, including its accuracy, legality, and the rights needed for us and our service providers to process it. Our handling of personal information is described in the Privacy Policy.
6. ChatVoice ownership and licence
We and our licensors retain all rights in ChatVoice, including its software, interface, documentation, branding, and underlying technology. While your subscription is active, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service on your business website and for related operations under these terms. No ownership in ChatVoice is transferred to you.
7. AI and third-party services
AI responses, transcripts, summaries, and booking suggestions may be incomplete, inaccurate, or inappropriate. You are responsible for reviewing outputs before relying on them and for supervising how your agent is presented to visitors. We do not guarantee uninterrupted service, flawless AI output, or that a booking will be free of conflicts.
ChatVoice depends on third-party services, including AI, cloud hosting, authentication, storage, payment, email, and Google Calendar providers. Their availability and terms may affect the service.
8. Pricing, billing, renewal, and cancellation
The price, billing interval, currency, applicable taxes, included usage, and renewal timing for your subscription are shown in the pricing section and at checkout. Subscriptions recur until cancelled. Additional paid services or usage are charged only as described when you order them.
You can manage or cancel a subscription through the Stripe billing portal available from your account. The effective cancellation date and continued access are as displayed in the portal. Any refund or credit rights are those presented at checkout or required by applicable law.
We may suspend paid features if payment fails or the subscription becomes inactive. You remain responsible for charges properly incurred before cancellation or suspension.
9. Optional deployment services
If you purchase implementation, deployment, or other professional services, the scope, deliverables, schedule, and fees will be set out in a separate written proposal or statement of work. That written scope controls only where it expressly conflicts with these terms for the professional services it covers.
10. Confidentiality
Each party will protect non-public information received from the other that is identified as confidential or reasonably should be understood as confidential. Confidential information may be disclosed only to people and providers who need it to perform obligations and are subject to appropriate confidentiality duties, or where disclosure is required by law.
These obligations do not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source. The confidentiality obligations survive termination for two years.
11. Availability and disclaimers
We aim to operate ChatVoice professionally, but the service may be changed, interrupted, delayed, or unavailable. To the maximum extent permitted by law, ChatVoice is provided “as is” and “as available” without implied warranties, including merchantability, fitness for a particular purpose, non-infringement, or that the service will be error-free.
Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, even if advised that such damages are possible.
To the maximum extent permitted by law, our total liability arising from or related to ChatVoice, these terms, or any related service will not exceed the fees you paid us for ChatVoice during the three months immediately before the event giving rise to the claim.
13. Suspension and termination
You may stop using ChatVoice at any time and may cancel a paid subscription as described above. We may suspend or terminate access if you materially breach these terms, fail to pay amounts due, create a security or legal risk, or misuse the service. Where practical, we will give notice and a reasonable opportunity to address the issue.
When access ends, your licence to use ChatVoice ends. Provisions that by their nature should continue—including ownership, confidentiality, disclaimers, liability limits, and amounts already due—survive termination.
14. Governing law and disputes
These terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules. The parties will first try in good faith to resolve disputes by direct discussion. If a dispute remains unresolved after 30 days, either party may propose mediation in Ottawa, Ontario, before pursuing other available remedies. The courts of Ontario have exclusive jurisdiction, subject to any rights that cannot lawfully be limited.
15. Changes to these terms
We may update these terms as ChatVoice or applicable law changes. We will post the revised terms with a new effective date and provide at least 14 days' notice of material changes to active customers, except where an urgent legal, security, or operational change requires faster action. Continued use after the revised terms take effect means you accept them.
16. General terms
These terms, the Privacy Policy, checkout terms, and any applicable written service scope form the agreement for ChatVoice. If one provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. Neither party creates a partnership, joint venture, employment, or agency relationship by entering this agreement.
